Rules and Regulations

The following rules and regulations have been designed for the benefit of all exhibitors and sponsors and constitute the official rules and regulations linked to the formal agreement. IOF and ISCD request the full cooperation of the exhibitors and sponsors in their observance of the terms and conditions contained herein. IOF and ISCD reserve the right to terminate exhibitor or sponsor privileges at any time for breach of these rules and regulations. Expulsion of an exhibitor under these rules shall not give rise to a claim for a refund of the fees paid by such exhibitor.

1. Meeting Management
The Meeting is organized jointly by IOF and ISCD. Any matters not covered in these rules and regulations are subject to the interpretation of IOF and ISCD.

Each exhibitor and/or sponsor (including their employees) agrees to abide by the regulations and by any amendments or additions thereto in conformance with the preceding sentences.

2. Official Exhibit Schedule

3. Installation of Exhibits
Installation of exhibits will be from 8:00 AM until 4:00 PM Wednesday February 19, 2014. Exhibitors must have their displays in complete order by 5:00 PM. If installation of exhibit is not complete by this time, special permission must be granted by IOF and ISCD to proceed. Decorators, display men, electricians, freight handlers, and other craftsmen will be available to assist exhibitors in setting up and maintaining their displays at an additional charge. Permission for later set-up must be requested in advance.

4. Failure to Occupy Space
Space not occupied by February 19, 2014 midnight will be forfeited by exhibitors and their space may be re-sold, re-assigned, or used by the conference management without refund.

5. Rates, Deposits and Payment Policy
Exhibit space will be rented at the rates in accordance with the price included in this Prospectus. No agreement will be processed or space assigned without payment. Under the terms of this agreement, the exhibitor agrees to pay the total charge for exhibit when submitting an agreement. Payment for exhibit space does NOT include the cost of any booth equipment, furnishings, special utilities or services ordered by the exhibitor. All such optional costs shall be the Exhibitor’s responsibility. Sponsorships must also submit payment with the agreement.

6. Cancellation
In the event of cancellation by exhibitor or sponsor company received after agreement has been processed, an administrative fee of 50% of the total amount paid will be applied. No refunds will be allowed on cancellations requested after January 15, 2014 and space shall be forfeited. All cancellation requests must be submitted in writing. 

7. Arrangements of Exhibits
Each exhibit booth is a 10’X10’ space with a 10’ curved back wall allowing for up to two (2) digital images (NOT included in booth fee), art to be supplied by each exhibitor, if desired; a custom counter, allowing for a digital image (included in booth fee) on the kick wall, art to be supplied by each exhibitor; one (1) computer shelf; one (1) cocktail round, two (2) side chairs and one (1) wastebasket and one (1) 12’’ X 6’’ booth ID sign.

If the exhibitor chooses, a display may be set-up within the confines of the booth space. The curved layout of the floor plan must be taken into consideration. There will be a height limit imposed of 10 feet. Ample space must also be allowed for all exhibitor personnel. Exhibits must conform to the size of the space and must be arranged so as to not obstruct the view or interfere with the exhibits of others.

8. Conduct
All exhibits will be to serve the interest of the meeting attendees and will be operated in a way that will not detract from other exhibits or the meeting as a whole.

9. Exhibitor's Representative
The exhibitor will name one individual as the duly authorized representative in charge of the exhibit. This individual will assume responsibility for all negotiations with the IOF and ISCD and the official meeting and exhibit management. In addition, this individual will receive all official correspondence from IOF and ISCD referring to the exhibit and will be responsible for communicating this information to registered personnel from the exhibiting company and other third-party contractors.

10. Exhibit and/or Sponsor Personnel
Unless otherwise agreed, all participants affiliated with exhibits and sponsors must be registered. Exhibitors are given five (5) full registration badges. Additional badges are available at the standard rate. Each person will be issued a meeting badge. A list of all exhibit and sponsor personnel must be submitted to the IOF and ISCD (ISCDIOFmeeting@iscd.org) no later than February 5, 2014. Badges will be available at the meeting Registration Desk on site.

Exhibits must be staffed at all times during the official Exhibit and Network Center hours. Exhibitor personnel are prohibited from working or conducting business in aisles or other public areas. Exhibitors shall not lead buyers from one exhibit space to another or to elevators or escalators. Exhibitors shall not enter into another exhibit’s space without invitation or when unattended. Exhibitors must comply with all applicable federal, state and local laws, as well as comply with restrictions imposed by the ACCME on Commercial Support.

11. Admission
IOF and ISCD shall have sole control over all admission policies at all times. Any person visiting the exhibits or attending any function of the meeting will be required to register and wear an appropriate badge while in attendance. Children ages 12 and under are not permitted in the Exhibit and Network Center or meeting area at any time.

12. Subletting of Exhibit Space and Prohibited Uses
Exhibitors are prohibited from assigning or subletting a booth or any part of the space allotted to them. Exhibitors cannot exhibit or permit any merchandise or advertising materials to be exhibited in their space that are not a part of their own regular products. IOF and ISCD reserve the right to decline or prohibit any exhibit or part of an exhibit, exhibitor representative, or proposed exhibit that, in the opinion of IOF and ISCD, is not suitable to and in keeping with the charter of the Exhibit and Network Center.

13. Ads and Literature
Canvassing or distributing advertising matter outside the exhibitor’s own booth is not permitted. Solicitations of business - and/or conferences in the interest of business - except by exhibiting firms, are prohibited. All exhibitor literature must be distributed from within the booth space assigned. Only literature published or pre-approved by the IOF and ISCD may be distributed in the registration area, meeting rooms, hotel and/or in other areas used by the meeting attendees.

14. Music and Amplification
Due to ASCAP and BMI licensing requirements and U.S Copyright laws, no live or recorded music will be permitted in the Exhibit and Network Center at any time unless the exhibiting company using the material has purchased the appropriate license. This rule includes background music on visual presentations. The use of amplification, movies, slides, or other audio-visual equipment is permissible; however, the sound volume of any such device must not exceed that of normal conversation voice level nor be objectionable to neighboring exhibitors. 

15. Removal of Exhibits
Packing and removal of exhibits will not begin until 6:00 PM Friday, February 21, 2014 and must be completed by 9:00 PM. Empty crates and packing containers being held in storage will not be returned until closing time. In the interest of public safety and show continuity, no exhibit booth or display shall be dismantled or packed prior to the official closing of the Exhibit and Network Center. 

16. Security
During the show, exhibitors will be responsible for the security of their own exhibit areas and property. Any damage to the hotel due to carelessness or negligence of an exhibitor must be paid for by the exhibitor who causes it. The fastening of materials to booth framework, or to building walls, ceilings, floors, or columns is expressly prohibited. Exhibitors must secure their own insurance for this.

17. Safety Precautions
All exhibit materials and installations must conform with the requirements of the building and inspection authorities having local jurisdiction. All flammable materials must be flame-proofed before being taken into the Exhibit and Network Center.

18. Liability and Security
Neither ISCD, IOF, the Buena Vista Palace Hotel & Spa, Gilbert Exposition Management Services (GEMS), nor any of its officers, agents, employees or other representatives, shall be held liable for, and they are hereby released from liability for, any damage, loss, harm or injury to the person or property of the exhibitor or any of its officers, agents, employees or other representatives, resulting from theft, fire, water, accident or any other cause. The exhibitor shall indemnify demands, suits, liability, damages, loss, costs, attorneys’ fees and expenses of whatever kind or nature, including but not limited to, claims of damage or loss resulting from the breach of these Terms, Conditions and Rules, claims of property or personal injury caused by or attributable in whole or in part to any action or failure to act whether by negligence or otherwise, on the part of the exhibitor or any of its officers, agents, employees or other representatives, and claims of damage or loss to any third party resulting from an infringement of a copyright or patent or the unauthorized use of a registered trademark.

19. Limitations and Liability
Exhibitors or their agents may not allow any articles to be brought into the exposition or any act performed on the premises that would invalidate the insurance or increase the premium of the policies held by the management of the Venue Hotel, GEMS and/or IOF and ISCD; nor permit anything to be done by their employees and/or their agents through which the premises, property or equipment of IOF and ISCD, GEMS, Venue Hotel, and/or other exhibitors will be damaged. The Exhibitor and/or the exhibiting company will be held liable for any damage resulting from such violation. All space is leased subject to these restrictions. IOF and ISCD have the right to terminate an Exhibitor’s rights pursuant to this contract at any time after discovery of a violation of this provision. 

Exhibitor agrees to protect, save and keep IOF and ISCD, the Venue Hotel, and GEMS forever harmless from any damage or charges imposed for violation of any law or ordinance by the exhibitor, company employees or agents, and to strictly comply with the applicable terms and conditions contained in the agreement between IOF and ISCD, the Venue Hotel and GEMS  regarding the exhibition premises; and further, the Exhibitor shall at all times protect, indemnify, save and keep harmless IOF and ISCD, Hotel and GEMS against and from any and all loss, cost, damage, liability or expense that arises out of, from or by reason of any act or omission of exhibitor, company employees and/or agents.

20. Cancellation by IOF and ISCD of the Meeting - Force Majeure
In case of force majeure, the Meeting organizers (International Osteoporosis Foundation (IOF) and International Society for Clinical Densitometry (ISCD)), have the right to alter or cancel the Meeting without prior notice. However, a notice of the occurrence shall be given by IOF and ISCD as soon as reasonably possible.

Force majeure shall mean any circumstance beyond the reasonable control of IOF and ISCD which prevents or impedes the holding of the Meeting, including, but not limited to, government action, war or hostilities, riot or civil commotion, plague or other epidemic such as SARS, bird flu, etc, earthquake, flood, hurricane, tsunami, cyclone, fire or other natural physical disaster, explosion, accident or breakdown, strike, lack of the usual means of transportation or terrorism or due to events which are not attributable to wrongful intent or gross negligence of IOF and ISCD. IOF and ISCD shall not be liable for any direct or indirect, incidental or consequential damages, losses, expenditures or any other inconveniences or costs caused by such modification or cancellation of the meeting. IOF and ISCD shall, in their sole discretion, determine the amount of the exhibit fees or sponsorship fees to be refunded, if any.

21. Standard Governing Law and Dispute Resolution Clause for Contracts of the IOF-ISCD Skeletal Health Orlando 2014
Governing law and Dispute resolution:

  • Governing Law: this Agreement and this Article (Governing Law and Dispute Resolution) shall be construed, interpreted and applied in accordance with the laws of State of CT, and the USA exclusively.
  • Dispute Resolution Processes: Any dispute, controversy or claim arising under, out of or relating to this Agreement and any subsequent amendments of this Agreement, including, without limitation, its formation, scope, validity, binding effect, interpretation, performance, breach or termination, as well as any non-contractual claims or intellectual property claims, which the parties have not been able to settle amicably, shall be resolved exclusively by expedited arbitration in accordance with the World Intellectual Property Organization Arbitration and Mediation Center (the ‘WIPO Center’)’s Rules for expedited arbitration in effect at the date of such disagreement or dispute. The place of any arbitration shall be Hartford, Connecticut, USA. The language to be used in all arbitral proceedings shall be English. All proceedings shall be administered by the WIPO Center.

22. Changes and Modifications
Any changes or modifications to the Agreement shall be made in writing and signed by both parties.
